Welcome to SimpleAnswering.com! These Terms of Service ("Terms") govern your use of the SimpleAnswering.com website and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.


1. Acceptance of Terms

By creating an account or using the Service, you agree to comply with these Terms. If you do not agree, you may not use the Service.

2. Description of Service

SimpleAnswering.com provides an AI-powered virtual receptionist service for businesses. Our Service includes:

  • AI voice assistants that answer phone calls on behalf of your business
  • Call recording and transcription capabilities
  • Call summaries and lead capture
  • Dashboard for managing calls and business information
  • SMS/text message notifications for call alerts and account updates

We reserve the right to modify or discontinue the Service at any time, with or without notice.

3. Service Availability

The Service is provided on an "as available" basis. We do not guarantee any specific level of uptime, availability, or response time. You acknowledge and agree that:

  • The Service may be unavailable from time to time due to maintenance, updates, technical issues, third-party service outages, or other reasons
  • We may suspend, restrict, or discontinue the Service (in whole or in part) at any time, with or without notice, for any reason including but not limited to violations of these Terms, compliance concerns, or operational needs
  • We are not liable for any damages, losses, lost revenue, missed calls, lost business opportunities, or other consequences arising from any interruption, suspension, or discontinuation of the Service
  • You are solely responsible for maintaining backup or alternative call handling arrangements for your business
  • No service level agreement (SLA) is provided unless separately agreed to in writing

4. AI-Powered Service

You acknowledge and agree that:

  • Calls to your business phone number will be answered by an artificial intelligence (AI) system, not a human
  • The AI assistant will identify itself as an AI assistant for your business at the beginning of each call
  • AI responses are generated based on the business information you provide and may not always be accurate or complete
  • You are responsible for ensuring the accuracy of the business information provided to the AI
  • The AI cannot perform tasks outside of its programmed capabilities (e.g., process payments, access external systems)

5. Call Recording and Data

By using our Service, you acknowledge and consent to the following:

  • Call Recording: All calls handled by our Service are recorded for quality assurance, transcription, and to provide you with call records
  • Caller Notification: Our AI assistant informs callers that the call may be recorded at the beginning of each call
  • Transcription: Recorded calls are transcribed using AI technology and stored in your account
  • Data Access: You have access to recordings, transcripts, and summaries through your dashboard
  • Data Retention: Call recordings and transcripts are retained for 90 days, after which they are automatically deleted

6. SMS/Text Message Notifications

By providing your phone number and enabling SMS notifications, you consent to receive text messages from SimpleAnswering regarding your account, including:

  • Call alerts: Notifications when your AI receptionist handles a call, including caller information and call summaries
  • Account notifications: Trial status updates, billing alerts, and service updates
  • Customer care: Responses to support inquiries and service announcements

Message frequency varies based on your call volume and account activity. Message and data rates may apply. SMS notifications are not required to use the Service. You may opt out at any time by replying STOP to any message. Reply HELP for assistance or contact us at hello@simpleanswering.com. Consent to receive SMS is not a condition of purchase.

7. Your Responsibilities as a Business User

You are responsible for:

  • Providing accurate and up-to-date business information for the AI to use
  • Complying with all applicable laws regarding call recording in your jurisdiction
  • Informing your customers that calls may be handled by an AI system and recorded, as appropriate for your business
  • Not using the Service for any illegal, fraudulent, or harmful purposes
  • Reviewing call records and following up with callers as needed for your business
  • Ensuring that the use of AI answering services is appropriate for your industry and customer base
  • Maintaining your own backup or alternative call handling solution in the event the Service is unavailable for any reason
  • Determining whether the Service is suitable for your industry's regulatory requirements before use

8. Regulatory and Compliance Disclaimer

Important:

SimpleAnswering.com is not HIPAA-compliant and is not designed or intended for use in any context that requires compliance with the Health Insurance Portability and Accountability Act (HIPAA) or any similar healthcare privacy regulation.

You must not use the Service to collect, store, transmit, or process Protected Health Information (PHI) or any data subject to HIPAA, HITECH, or equivalent healthcare privacy laws.

The Service is a general-purpose AI answering service and does not meet the specific regulatory, compliance, or certification requirements of any particular industry. Without limitation, the Service is not certified or designed for compliance with:

  • HIPAA / HITECH (healthcare)
  • PCI-DSS (payment card processing)
  • SOC 2 Type II
  • FedRAMP or other government security standards
  • Any industry-specific regulatory framework

It is solely your responsibility to determine whether the Service is suitable for your industry, business type, and applicable regulatory requirements before using it. If your business operates in a regulated industry, you must independently assess whether the Service meets your compliance obligations. We are not responsible for any fines, penalties, legal actions, or other consequences arising from your use of the Service in a manner that violates applicable regulations.

9. User Accounts

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

  • You must provide accurate and complete information when creating an account
  • You may not use the Service for any illegal or unauthorized purpose
  • You must be at least 18 years old to use the Service

10. Google Auth & Data

Our Service uses Google OAuth for authentication. By using "Sign in with Google," you authorize us to access your Google profile information (Name, Email, Profile Picture) in accordance with our Privacy Policy.

11. Free Trials

We may offer free trials of the Service at our discretion. During any free trial period, we reserve the right to cancel, suspend, or terminate your trial and access to the Service at any time, for any reason or no reason, at our sole judgment, without prior notice and without any obligation or liability to you. Free trials do not guarantee continued access to the Service, and no commitment or obligation arises from the provision of a free trial. You acknowledge that you have no right to continued service during or after a trial period.

12. Payment and Subscription

  • Certain features of the Service require a paid subscription
  • Subscription fees are billed in advance on a monthly basis
  • Usage beyond your plan limits may incur additional charges
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to change pricing with 30 days notice

13. Intellectual Property

The Service and its original content, features, and functionality are owned by SimpleAnswering.com and are protected by intellectual property laws. You retain ownership of the business information you provide and the call data generated through your use of the Service.

14. Prohibited Uses

You may not use the Service to:

  • Violate any applicable laws or regulations
  • Impersonate any person or entity
  • Engage in telemarketing, spam, or unsolicited communications
  • Collect or store personal data about callers for purposes other than legitimate business follow-up
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any part of the Service

15. Suspension and Termination

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Use of the Service in a regulated industry or context for which the Service is not designed (e.g., healthcare, legal, financial services requiring specific certifications)
  • Suspected fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • At our sole discretion, for any reason or no reason

Upon suspension or termination: (a) your right to use the Service ceases immediately; (b) your phone number forwarding will be deactivated; (c) incoming calls to your assigned number will no longer be answered by our Service; and (d) your data will be handled in accordance with our data retention policies. You acknowledge that suspension or termination may result in missed calls, lost business, or other consequences for your business, and you agree that we bear no responsibility or liability for any such consequences.

If your account is suspended due to compliance concerns, we will make reasonable efforts to notify you via the email address associated with your account. However, our obligation to protect the integrity of the Service and comply with applicable law takes priority, and we are not required to provide advance notice before suspending service.

16. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the AI will answer all calls or answer them correctly; (c) call recordings, transcripts, or summaries will be accurate or complete; (d) the Service will meet your specific business, regulatory, or compliance requirements; or (e) the Service will be available at any particular time or from any particular location.

17. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SimpleAnswering.com, its owners, directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation: loss of profits, revenue, or business; loss of customers or business opportunities; loss of data or goodwill; cost of procurement of substitute services; or any other intangible losses, arising out of or in connection with: (a) your use of or inability to use the Service; (b) any suspension, termination, or discontinuation of the Service; (c) AI errors, inaccuracies, or failures; (d) missed calls or calls not answered; (e) any unauthorized access to or alteration of your data; or (f) any other matter relating to the Service.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim. This limitation applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

18. Indemnification

You agree to indemnify, defend, and hold harmless SimpleAnswering.com, its owners, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) your use of the Service in connection with a regulated industry or for purposes for which the Service is not designed; or (e) any claim by a third party (including your customers, callers, or employees) related to your use of the Service.

19. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, pandemics, power failures, internet or telecommunications outages, third-party service provider failures (including telephony, cloud, or AI providers), cyberattacks, or labor disputes.

20. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA), with the arbitration taking place in the State of Delaware. You agree that any arbitration shall be conducted on an individual basis and not as a class action or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration against SimpleAnswering.com.

21. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. Continued use of the Service after changes constitutes acceptance of the new Terms.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

23. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

24. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SimpleAnswering.com regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
